By accessing or using AgencyOps (the "Service"), operated by AgencyOps, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all these terms, you may not access or use the Service.
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
2. Description of Service
AgencyOps is a SaaS platform designed for creative and digital agencies. The Service provides tools for:
- AI-assisted proposal generation and management
- Automated contract creation (NDA, MSA, SOW)
- Invoice generation and payment tracking
- Revenue dashboard and analytics
- Client and project management
3. Account Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.
4. Subscription & Billing
The Service is offered on a subscription basis. Pricing, features, and billing cycles are described on our pricing page. By subscribing, you authorize us to charge your payment method on a recurring basis.
- All fees are non-refundable unless stated otherwise
- You may cancel your subscription at any time; access continues until the end of the current billing period
- We reserve the right to change pricing with 30 days' notice
- Past-due accounts may have limited access to the Service
5. User Content & Data
You retain all rights to the content you create, upload, or store through the Service ("User Content"), including proposals, contracts, invoices, and client data. You grant us a limited license to process, store, and display User Content solely to provide the Service.
You are solely responsible for any User Content you submit. You represent that your User Content does not violate any law or third-party rights.
6. AI-Generated Content
Certain features of the Service use artificial intelligence to generate content such as proposal scopes, contract clauses, and suggestions. While we strive for accuracy:
- AI-generated content is provided "as-is" and should be reviewed before use
- We do not guarantee the legal accuracy or enforceability of AI-generated contracts or clauses
- You are responsible for reviewing and finalizing all generated content
- We recommend consulting a legal professional for binding documents
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe upon the intellectual property rights of any third party
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service or its systems
- Use the Service for any fraudulent or deceptive purposes
- Interfere with the operation of the Service or other users' experience
8. Limitation of Liability
To the maximum extent permitted by law, AgencyOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Service.
Our total aggregate liability shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
9. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases, and we may delete your account data after a 30-day grace period.
